ARTICLE II

Purposes of the Society

The purposes of the Asian & Oceanian Society of Neuroradiology and Head & Neck Radiology are

1. To promote neuroradiology and head & neck radiology by appropriate means.
2. To coordinate work and documents in neuroradiology and head & neck radiology and to assure the diffusion thereof throughout the countries of Asia & Oceania.
3. To coordinate relationship between general radiology and the clinical specialties concerning the nervous system and the head & neck.
4. To contribute to the development of unified methods of teaching neuroradiology and head & neck radiology and unified standards for training and certification in neuroradiology and head & neck radiology
5. To promote and coordinate relationships among the existing Asian & Oceanian national and regional neuroradiological and head & neck radiology societies and Word Federation of Neuroradiological Societies(WFNRS) and to promote the foundation of national and regional neuroradiological and head & neck radiology societies or national sections of the AOSNHNR in the countries in which there are no existing societies.

ARTICLE III

Methods of achieving the said Purposes

In order to accomplish these purposes, the Asian & Oceanian Society of Neuroradiology and Head & Neck Radiology

1. sponsors a scientific meeting at a time and place designated by the Executive Committee to promote the objectives as stated in article II.
2. organizes courses for training and development in neuroradiology and head & neck radiology.
3. institutes prizes, grants or scientific awards for works meant to achieve these purposes.

ARTICLE IV

Structure of Membership

The Asian & Oceanian Society of Neuroradiology and Head & Neck Radiology will be composed of: 1. Full members. 2. Associate members. 3. Corresponding members. 4. Honorary members. 5. Members emeriti.

Full Membership

This class of membership shall be limited to those physicians and radiologists who have interests in neuroradiology and head & neck radiology, and who spend some time in the practice of neuroradiology and head & neck radiology in an Asian & Oceanian country (this status is to be certified by a full member of the Society) Full members shall have all rights and privileges of membership in this corporation, including the right to vote, to serve on committees, and to hold any office in this corporation, and shall be required to pay dues.

Associate Membership

Other physicians or scientists who are interested in neuroradiology and head & neck radiology, but who do not fully qualify for full membership may apply for associate membership. An associate member shall have the privileges of full membership except that he or she shall not have a vote, shall not serve on committees excepts as a consultant, and shall not hold any office in this corporation. He or she shall pay dues. Corresponding Membership Neuroradiologists and Head & Neck Radiologists otherwise eligible for full membership but working or residing outside Asia & Oceanian, who are judged by the Executive Committee to have made a significant contribution in the field of neuroradiology and head & neck radiology, may be elected as corresponding members. A corresponding member shall have all the privileges of full membership, except that he or she shall not have a vote, shall not serve on committees, and shall not hold any office in this corporation. They are not required to pay dues.

Corresponding Membership

Neuroradiologists and Head & Neck Radiologists otherwise eligible for full membership but working or residing outside Asia & Oceanian, who are judged by the Executive Committee to have made a significant contribution in the field of neuroradiology and head & neck radiology, may be elected as corresponding members. A corresponding member shall have all the privileges of full membership, except that he or she shall not have a vote, shall not serve on committees, and shall not hold any office in this corporation. They are not required to pay dues.

Supporting Membership

Organizations and companies that support the Society and support its objectives may apply for supporting membership. This membership ends at the end of the last the prescribed membership payment fiscal year. Renewal is possible. The supporting member will not have the right to vote. Supporting member can be elected as a member of any committee of the Society. Supporting member cannot be a chairperson of any committee and also member of the Executive Committee.

Honorary Membership

By majority of the full members, honorary membership may be conferred upon individuals who have made outstanding contributions to neuroradiology and head & neck radiology or to this Society. An honorary member shall have all the privileges of full membership except that he or she shall not have a vote, shall not serve on committees, and shall not hold any office in this corporation. An honorary member is not required to pay dues.

Emeritus Membership

On written request by any full member to the secretary general and with the approval of the Executive Committee, a full member, who is no longer in the active practice of medicine may be designated member emeritus. He or the shall not have a vote and shall not hold any office in this corporation. No dues shall be required of a member emeritus.

Election to Membership

Only full members may sponsor candidates for membership in the Society. Applications including a brief curriculum vitae and certification of training are to be submitted to the secretary general. Membership applications must be reviewed and assigned for the correct class of membership by the Membership Committee. Nominations will be submitted for approval to the general assembly by the Executive Committee. A majority vote of the full members attending and voting at the general assembly is necessary for election of a candidate to membership.

Membership may be brought to an end by:
- resignation
- being canceled from the membership list by the Executive Committee for serious cause, for actions of such nature as to hinder the purposes of the Society, or for failure to pay dues.

Rights and Benefits to Membership

Only full members shall have the right to vote and hold elective office in the Society. Only full members may be appointed to standing committees unless otherwise provided in this constitution.

ARTICLE V

The Organs of the Society

The organs of the Society are:

1. The General Assembly.
2. The Council of National or Regional Delegates.
3. The Executive Committee.
4. The Committees.

ARTICLE VI

The General Assembly

The General Assembly of the Society shall be held in conjunction with the scientific meeting. Special business meetings may be called by the president or upon written petition of one-third of the full members of the Society.

ARTICLE VII

The Council of Delegates

The council will be made up of the national or regional delegates. In the Asian & Oceanian countries in which there is a national or regional society, the national or regional delegate is to be elected by the national or regional society. In the Asian & Oceanian countries in which there is no national or regional society, the full members of that country form a national or regional section of the AOSNHNR and the chairman of the section will be the national or regional delegate. The national or regional delegates will serve for one to four years, between two congress meetings, and are eligible for reelection. Each nation or region can have only one vote in the council meeting, despite the numbers of national or regional delegates

ARTICLE VIII

The executive Committee

The Executive Committee of the AOSNHNR is formed by the officers. The officers will be:

1. President.
2. Vice president.
3. Secretary general.
4. Treasurer.
5. Immediate past president.
6. National or regional delegates (executive committee at large).

The officers manage and direct the affairs of the Society; they will meet when appointed by the president or at the request of the majority of their members.

Election of Officers

Officers of the Society shall be elected at the general assembly to serve according to the provisions of this article. The procedure for electing officers of the Society shall be as follows:

1. The Nominating Committee shall nominate one or more candidates for each available office, and report the names to the Society no later than the convocation of the general assembly. Nominations for officers have to be addressed to the Nominating Committee.
2. Nominations from other members may also be accepted.
3. The order of election shall be president, vice president, secretary general, and treasurer.
4. If more than one nomination has been received for an office, voting shall be by secret written ballot for each office separately.
5. The result of the election shall be announced immediately and the candidate who has received a majority of votes will be declared elected.
6. If the ballot results is a tie, the president shall declare the election void and shall call for an additional nominations.
7. The president shall be elected among full members who have served at least once as officers of the AOSNHNR.
8. The elected officers will serve one to four years, between two congress meetings, shall take office immediately after the general assembly.
9. All the officers will serve for four years and are eligible for reelection.

Duties of the Officers

President : The president shall be the presiding officer of the Society and shall perform all duties which custom and parliamentary practice commonly associate with the office of the president.

1. The president shall preside over the Executive Committee and the council of national delegates.
2. He will be a member of all the other committees.
3. The president, with the approval of the Executive Committee, shall appoint members to standing committees.
4. Ad-hoc-committees may be established by the president in consultation with the Executive Committee.

Vice President : The vice president shall chair the Scientific Program Committee, shall assume all duties of the presidency if the president is unable to serve, and have such other duties as assigned by the president. The Vice President will become President at the beginning of next congress meeting.

Secretary General : The secretary general shall be responsible for all duties that usually concern the office of secretary including, but not limited to, keeping a permanent record of the proceedings of the Society and maintaining a current register of members, including current addresses, years of election, and membership classification.

Treasurer : The treasurer shall be responsible for collecting, receiving, appropriating and accounting for all funds of the Society. The treasurer shall keep a complete and permanent record of the financial transactions of the Society and shall give a full financial report to the general assembly.

Special Charges : A member of the Executive Committee or other full member or honorary member will specially charged to establish contacts with neuro-radiological societies or Head & Neck Radiology of Asian & Oceanian region and World Federation of Neuroradiological Societies.

Committees : Standing committee of the Society, the role of such meeting may be conducted by the council meeting, shall ../include the following:

1. Rules Committee.
2. Scientific Program Committee.
3. Nominating Committee.
4. Membership Committee.

Actions of all committees shall be reported to the Executive Committee. The Committees will hold office for one to four years, between two congress meetings, and its members are eligible for reelection.

Rules Committee : The Rules Committee shall consist of the president, secretary general, and three other members of the Society nominated by the Executive Committee, one of whom shall be appointed by the president as chairman.

Nominating Committee : The Nominating Committee shall consist of the Executive Committee, the previous president, and two full members appointed by the president, one of whom will serve as chairman. The Nominating Committee shall perform its duties according to this constitution.

Membership Committee : The Membership Committee shall consist of three members nominated by the executive committee with one member appointed by the president to serve as chairman. The Membership Committee shall examine all candidates for membership to assure that they fulfill the requirements for membership according to the appropriate category as called for in the constitution.

ARTICLE IX

Meetings

The Society shall promote a scientific meeting at a place and time designated by the Executive Committee to promote its objectives. Scientific sessions are open to all registered attendants, who pay the fee fixed for the meeting.

ARTICLE X

Financial Management - Responsibility

Financial Management : The income of the Society comprised membership fee and support of patron institutions or person. All financial contributions are to be paid to the treasurer. The amount of the subscription is fixed by the Executive Committee and submitted to the general assembly for approval.

Responsibility : The Executive Committee is not responsible for any member's behavior.

Fiscal Year : The fiscal year of this association shall be from April 1 to March 31 of each year.

Membership fee : This association collects annual membership fees from its members. The amount of the annual fee shall be subject to detailed rules.

ARTICLE XI

Changes in the Constitution

The constitution of the Society may be amended at any general assembly of the Society by the two-thirds majority of the full members present voting provided that there is a quorum. The proposed amendments shall be presented to the members in the call to the general assembly at which the vote will be.

ARTICLE XII

Dissolution

The Society may be dissolved only by a joint decision taken by the Executive Committee and by the general assembly convened especially for this purpose and voted by a three-quarters' majority of all full members.

2. Membership fee

The membership fees are decided by the 2/3 majority of the Executive Committee a month before every fiscal year and sent to the member societies accordingly.
